By accessing our website, requesting a quote, scheduling a service, or entering into a service agreement with Prestige Cleaning Network LLC, you agree to be bound by these Terms & Conditions.

If you do not agree to these terms, please do not use our website or services.

1. COMPANY INFORMATION

These Terms & Conditions (\"Terms\") govern your use of the Prestige Cleaning Network LLC website and all cleaning and janitorial services provided by Prestige Cleaning Network LLC (\"Company,\" \"we,\" \"us,\" or \"our\"), a Texas limited liability company owned and operated by Dylan C Hayslett.

By using our website or engaging our services, you (\"Client,\" \"you,\" or \"your\") agree to these Terms in their entirety.

2. SERVICES2.1 Scope of Services

Prestige Cleaning Network LLC provides professional commercial and residential cleaning and janitorial services including but not limited to recurring office cleaning, deep cleaning, sanitization, move-in/move-out cleaning, and post-construction cleanup. All services are performed by independent contractors engaged by the Company.

2.2 Service Agreements

All services are governed by a written Client Service Contract executed between the Company and the Client. In the event of any conflict between these Terms and a signed service contract, the service contract shall control.

2.3 Independent Contractors

All cleaning services are performed by vetted, background-checked independent contractors (1099 service providers). These contractors are not employees of the Company. The Company coordinates service delivery and holds all contractors to established quality standards.

2.4 Service Modifications

The Company reserves the right to modify, add, or discontinue services at any time. Clients will be notified of any material changes to their scheduled services with reasonable advance notice.

2.5 Service Area

Services are currently available throughout the State of Texas. Availability in specific locations may vary. Contact us to confirm service availability in your area.

3. QUOTES AND ESTIMATES3.1 Estimates

All quotes and estimates provided through our website, by phone, email, or in person are based on information provided by the Client and are subject to change upon walkthrough or inspection of the service location.

3.2 Final Pricing

Final pricing is confirmed in the signed Client Service Contract. Quotes are valid for thirty (30) days from the date of issue unless otherwise stated.

3.3 Custom Services

Specialty services including post-construction cleanup, carpet cleaning, floor stripping, and other add-on services will be quoted separately and are not included in standard service pricing unless explicitly stated in the service contract.

4. SCHEDULING AND CANCELLATIONS4.1 Scheduling

Service appointments are scheduled by mutual agreement between the Company and the Client. Scheduling requests should be submitted at least 48 hours in advance. The Company will confirm all appointments via phone, text, or email.

4.2 Cancellations by Client

We ask for a minimum of 24 hours notice for any cancellation or rescheduling. Cancellations with less than 24 hours notice may be subject to a cancellation fee equal to 50% of the scheduled service rate. Repeated last-minute cancellations may result in review or termination of the service agreement.

4.3 Cancellations by Company

In the event the Company must cancel or reschedule a service appointment due to illness, weather, or other circumstances beyond our control, the Company will notify the Client as soon as possible and reschedule at no additional charge.

4.4 No-Access Fee

If a contractor arrives at the scheduled service location and is unable to gain access due to no fault of the Company, a trip fee may be assessed. The Client will be notified before any such fee is charged.

5. PAYMENT TERMS5.1 Invoicing

Invoices are issued upon completion of each service visit or on the 1st of each month for recurring clients. All invoices are due within fifteen (15) days of the invoice date.

5.2 Accepted Payment Methods

We accept the following payment methods: business check, ACH bank transfer, credit card, and Zelle for Business. Payment instructions are included on each invoice.

5.3 Late Payments

Invoices unpaid after fifteen (15) days from the due date will accrue a late fee of 1.5% per month (18% per annum) on the outstanding balance. The Company reserves the right to suspend services for accounts more than thirty (30) days past due without liability to the Client.

5.4 Returned Payments

Returned checks or failed ACH transfers incur a $35.00 returned payment fee in addition to any applicable bank charges. Following a returned payment, the Company may require certified payment methods for future invoices.

5.5 Disputed Invoices

If you believe there is an error on an invoice, please notify us in writing within seven (7) days of the invoice date. Undisputed portions of an invoice remain due by the original due date.

5.6 Deposits

The Company may require a deposit equal to one (1) month's service fee prior to commencing services for new accounts. Deposits are applied to the final month's invoice upon termination of the service agreement.

6. CLIENT RESPONSIBILITIES6.1 Access

The Client is responsible for providing safe, unobstructed access to all areas requiring service at the scheduled appointment time. This includes providing keys, access codes, alarm instructions, and parking information as needed.

6.2 Safe Environment

The Client shall ensure the service location is free from known hazards, biohazard materials, unstable structures, pest infestations, or any conditions that may endanger the health or safety of our contractors. The Client must notify the Company of any known hazards prior to the service visit.

6.3 Securing Valuables

The Client is responsible for securing all cash, jewelry, prescription medications, confidential documents, and other valuables prior to each service visit. The Company is not responsible for loss of unsecured items.

6.4 Biohazard Materials

Our contractors will not handle, move, or dispose of biohazard waste, medical waste, sharps containers, or any hazardous materials. These must be properly secured and removed by the Client prior to our service visit.

6.5 Consumable Supplies

Unless otherwise specified in the service contract, the Client is responsible for providing consumable supplies including toilet paper, paper towels, hand soap, and trash liners. The Company will notify the Client when supplies are running low.

7. SATISFACTION GUARANTEE AND COMPLAINTS7.1 Quality Commitment

We are committed to delivering consistent, high-quality cleaning services on every visit. All contractors are held to the Company's quality standards and are background-checked prior to assignment.

7.2 Complaint Process

If you are not satisfied with any service, you must notify us in writing — email is acceptable — within twenty-four (24) hours of the service date, describing the specific concern. Complaints received after 24 hours may be addressed at our discretion.

7.3 Re-Clean Policy

For valid complaints received within the 24-hour window, the Company will return to re-perform the unsatisfactory portion of the service at no additional charge within two (2) business days. This re-clean guarantee is your sole remedy for service quality issues.

7.4 Limitation of Remedy

The Company's maximum liability for any service quality claim shall not exceed the value of the service visit in question. The Company shall not be liable for indirect, consequential, or punitive damages arising from service quality issues.

8. PROPERTY DAMAGE8.1 Damage Reporting

Our contractors are instructed to report any accidental damage to Client property immediately. Clients must submit damage claims in writing within seventy-two (72) hours of the service date during which the damage occurred. Claims submitted after 72 hours may not be honored.

8.2 Liability

The Company's total liability for property damage caused by our contractors during service shall not exceed three (3) months of the Client's monthly service rate. The Company is not liable for damage to unsecured valuables, pre-existing damage, normal wear and tear, or damage caused by defective Client property.

8.3 Insurance

Prestige Cleaning Network LLC carries general liability insurance and a janitorial surety bond. A Certificate of Insurance is available upon written request. Our insurance covers property damage caused by Company contractor negligence during the performance of services.

9. CONFIDENTIALITY AND PRIVACY9.1 Client Confidentiality

All Company contractors are required to sign a Non-Disclosure and Non-Solicitation Agreement prior to performing any services. Our contractors are instructed not to read, photograph, discuss, or disclose any information observed at a Client's facility, including patient records, legal documents, financial records, or any other sensitive business information.

9.2 Key and Access Security

All Client keys, access cards, and security codes are logged and stored securely. Keys are never labeled with identifying Client information. Any lost or compromised credentials are reported to the Client immediately. The Company will cover the cost of rekeying if the loss is due to Company negligence.

9.3 Privacy Policy

The Company collects basic contact and business information necessary to provide services and process payments. We do not sell, rent, or share your personal or business information with third parties except as required to perform services (such as sharing job details with assigned contractors) or as required by law.

9.4 Website Data

Our website may collect standard analytics data including page views, browser type, and general location. This information is used solely to improve website performance and user experience. We do not collect payment card information through our website.

10. NON-SOLICITATION OF CONTRACTORS

By engaging our services, the Client agrees not to directly hire, solicit, recruit, or employ any Company contractor introduced through our service engagement for a period of twelve (12) months following termination of the service relationship. Violation of this provision entitles the Company to a placement fee equal to three (3) months of the contractor's average assignment rate.

11. TERMINATION OF SERVICES11.1 Termination by Client

Clients may terminate recurring service agreements with thirty (30) days written notice. Early termination of a fixed-term service contract may result in an early termination fee as specified in the signed service contract.

11.2 Termination by Company

The Company reserves the right to terminate any service agreement with thirty (30) days written notice. The Company may terminate immediately and without notice if the Client fails to pay invoices within sixty (60) days of the due date, creates an unsafe environment for Company personnel, or engages in abusive, threatening, or fraudulent conduct.

11.3 Effect of Termination

Upon termination, all outstanding invoices become immediately due and payable. The Company will return all Client access credentials within five (5) business days of the termination date.

12. WEBSITE USE12.1 Permitted Use

You may use our website for lawful purposes only. You agree not to use our website to transmit any material that is unlawful, harassing, defamatory, or otherwise objectionable, or to interfere with the operation of the website.

12.2 Accuracy of Information

We make every effort to ensure the accuracy of the information on our website, including service descriptions and pricing. However, we do not guarantee that all information is complete, accurate, or current. Pricing and service details are confirmed in your written service contract.

12.3 Third-Party Links

Our website may contain links to third-party websites for your convenience. The Company is not responsible for the content, privacy practices, or accuracy of any third-party websites. Visiting third-party links is done at your own risk.

12.4 Intellectual Property

All content on this website including text, graphics, logos, and images is the property of Prestige Cleaning Network LLC and may not be copied, reproduced, or distributed without written permission.

13. DISCLAIMER OF WARRANTIES

Our services and website are provided on an \"as is\" and \"as available\" basis. The Company makes no warranties, express or implied, regarding the completeness, accuracy, reliability, or fitness for a particular purpose of our services or website content. We do not guarantee uninterrupted or error-free service delivery.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Prestige Cleaning Network LLC, its members, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services or website, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claim shall not exceed the total fees paid by the Client in the three (3) months prior to the event giving rise to the claim.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Prestige Cleaning Network LLC, its members, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of our website or services; (b) your violation of these Terms; (c) your failure to provide a safe working environment; or (d) any claim that information you provided to us is inaccurate or misleading.

16. DISPUTE RESOLUTION16.1 Good Faith Negotiation

Before initiating any formal dispute resolution, both parties agree to attempt to resolve disputes through good faith negotiation for a period of thirty (30) days following written notice of the dispute.

16.2 Binding Arbitration

If negotiation is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration in the State of Texas under the rules of the American Arbitration Association. The arbitration decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

You agree that any dispute resolution will be conducted on an individual basis and not as part of a class action, collective action, or representative proceeding.

17. GOVERNING LAW

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of the State of Texas.

18. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, extreme weather, government orders, public health emergencies, pandemics, or acts of God. In such events, the Company will make reasonable efforts to reschedule affected services.

19. CHANGES TO THESE TERMS

The Company reserves the right to update or modify these Terms at any time. Changes will be posted on our website with an updated effective date. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

20. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

21. ENTIRE AGREEMENT

These Terms, together with any signed Client Service Contract and our website Privacy Policy, constitute the entire agreement between you and Prestige Cleaning Network LLC regarding the subject matter herein and supersede all prior agreements, representations, and understandings.
